Admincontrol CEO Evaluation: A Structured Way for Boards to Evaluate CEO Performance

IAS 24 related party disclosure - stock imagery

Admincontrol CEO Evaluation gives boards a structured, confidential process for CEO performance evaluation, within Admincontrol Board Portal and alongside the rest of their board work. It collects anonymous feedback from both the board and the executive management team, consolidates the responses automatically into a board-ready report and retains a history of results, so the board can monitor the CEO's development over time.

Why should the board evaluate the CEO in a structured way?

Supervising the company's management is one of the board's principal responsibilities, and the CEO holds the most important operational role in the organisation. A structured CEO evaluation replaces anecdotal impressions with consistent, documented feedback that the board can compare from one evaluation cycle to the next.

In many boards, the assessment of the CEO still relies on board discussions, one-to-one conversations and personal observations. Feedback is collected differently every year, important perspectives can disappear, and the results are difficult to compare over time.

At the same time, the board is expected to take a position on the CEO's development, performance against objectives, the support the CEO needs and remuneration. Those decisions require a documented basis that goes beyond the personal impressions of individual directors.

Who should give feedback in a CEO performance evaluation?

Both the board and the management team, because each group observes a different dimension of the CEO's role. Directors see the CEO in the boardroom and follow the company's strategic development, while the management team experiences the CEO's day-to-day leadership at close quarters.

Admincontrol CEO Evaluation gathers feedback from both groups in a single process and presents the results from both perspectives. The board therefore gains a broader, more balanced foundation for its assessment of the CEO.

Why should CEO evaluation feedback be anonymous?

Participants give more candid feedback when their responses cannot be attributed to them individually. Many directors and executives hesitate to be completely open about the CEO's performance when every comment is identifiable.

With anonymous responses, participants can share observations and assessments confidentially. The outcome is more honest feedback and a more complete basis for the board's decisions.

From report to conversation

For many boards, gathering feedback is only half the challenge. Someone still needs to collect responses, compile comments, identify themes and prepare material for the evaluation process. That administrative work can be time-consuming and often varies from one evaluation cycle to the next. CEO Evaluation automatically consolidates responses into a board-ready report, reducing the effort required to prepare a fair and structured evaluation. But the report itself is not the end goal. Its real value lies in what happens next.

With a clear overview of the results, the Chair can focus on discussing the findings with the CEO, exploring strengths, identifying development areas and creating a shared understanding of the feedback. In many boards, this conversation takes place before the results are brought to the wider board, ensuring the CEO has an opportunity to reflect on the feedback and contribute context to the discussion.

The report provides a structured foundation for that dialogue, helping move the conversation beyond individual impressions and isolated observations. From there, the board can use the insights to support more constructive discussions, agree on follow-up actions and track progress over time. Because the purpose of a CEO evaluation is not to produce a report. It is to create better conversations, clearer priorities and more meaningful follow-up.

How does CEO evaluation fit into the annual board evaluation cycle?

For companies already using Admincontrol Board Evaluation, CEO evaluation becomes a natural extension of the annual governance cycle. Together, three complementary evaluations cover the most important areas a board should review.

Evaluation

What it reviews

Admincontrol Board Evaluation

The board's ways of working and the dynamics in the boardroom

Admincontrol Competence Assessment

The board's composition and competence

Admincontrol CEO Evaluation

Oversight of the most important operational role in the company

In the UK, the board's own annual evaluation is often described as a board effectiveness review or board performance review. Our guide to board evaluation explains how to conduct one.

Who is Admincontrol CEO Evaluation for?

Admincontrol CEO Evaluation is designed for the people who own and administer the evaluation process: the chair and the company secretary (or board secretary).

The chair gains a more structured foundation for the dialogue with the CEO. The company secretary can administer the process in a familiar interface, without introducing new tools or ways of working.

Frequently asked questions about CEO evaluation

What is a CEO performance evaluation?

A CEO performance evaluation, also called a CEO performance review or CEO appraisal, is the board's structured assessment of how the chief executive is performing. It gives the board a documented basis for decisions on the CEO's development, performance against objectives, support and remuneration.

How often should the board evaluate the CEO?

Annually, as part of the board's governance cycle. The evaluation is designed to run alongside the annual board evaluation and competence assessment, and because results are retained over time, the board can compare each evaluation with previous ones.

Can we adapt the CEO evaluation questionnaire?

Yes. Admincontrol CEO Evaluation includes a ready-made question template for evaluating the CEO, which you can adapt to your organisation's specific requirements.

How is a CEO evaluation different from a board evaluation?

A board evaluation reviews how the board itself operates, including its ways of working and the dynamics in the boardroom. A CEO evaluation reviews the performance of the CEO, the most important operational role in the company. Admincontrol Competence Assessment adds a third perspective: the composition and competence of the board.

Do we need a separate CEO evaluation tool?

No. Admincontrol CEO Evaluation runs in Admincontrol Board Portal and is built on the same solution as Admincontrol Board Evaluation, so the company secretary can administer it without introducing new tools or ways of working.
